Terms of Service

These Terms of Service ("Terms") govern your access to and use of this website and related consulting services provided by KMB Consulting, L.L.C. ("KMB Consulting," "we," "us," or "our").

By using this website or engaging our services, you agree to these Terms and any applicable service agreement, proposal, or statement of work.

1. Services and Payment

Scope of Services: We provide business consulting services as described in a separate Statement of Work (SOW), proposal, or service agreement. Services may include strategic planning, operational improvement, financial performance advisory, and implementation support.

Payment Terms: Client agrees to pay fees as outlined in the governing SOW or agreement. Late payments may result in paused deliverables, project delays, or service termination.

2. Intellectual Property

Unless otherwise stated in writing, KMB Consulting retains rights to its proprietary methodologies, frameworks, templates, and internal tools. Client-owned data and pre-existing materials remain client property. Each party grants the other a limited license to use provided materials solely to perform the agreed services.

3. Client Responsibilities

Client agrees to provide timely access to relevant personnel, information, and systems required to perform services. The client is responsible for the accuracy, legality, and completeness of materials provided to us.

4. Termination

Either party may terminate services in accordance with the applicable SOW or agreement. We may suspend or terminate services for non-payment, breach of terms, or unlawful use of our services.

All provisions of the Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

5. Disclaimer of Warranties

Our services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, KMB Consulting disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not guarantee specific business outcomes, as results depend on factors outside our direct control.

You understand that you download from, or otherwise obtain content or services through, our Services at your own discretion and risk.

6. Limitation of Liability

In no event will KMB Consulting, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data.

7. Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the state of Colorado, U.S.A.

8. Changes

KMB Consulting reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide at least 30 days' notice prior to any new terms taking effect.
